At a glance
This summary highlights important points, but the complete Terms control if a summary and the detailed language differ.
- You must be at least 18, affirm that requirement during signup, and control an eligible email address from a participating school.
- You own your content. You give UniSphere only the rights needed to operate, protect, and display the Service. Public promotion of a real project requires your separate opt-in.
- UniSphere helps people discover projects and collaborators. It does not screen users, guarantee projects, employ participants, process payments, or decide who owns a team's work.
- The standard Service is free to Members. UniSphere does not currently display third-party ads and will update its notices and controls before launching advertising.
- Arizona law applies. Disputes go through a 30-day informal process and then, if needed, to courts in Maricopa County. These Terms do not require arbitration.
Agreement and scope
UniSphere is operated by Unisphere Connect LLC (the "Operator," "we," "us," or "our"). These Terms of Service (the "Terms") are a contract between you and the Operator governing your access to and use of the Service.
The "Service" includes the UniSphere websites, web application, features, communications, and related services that link to these Terms. A "Member" is a person with a UniSphere account. "Content" includes profile information, project posts, project roles, updates, images, join requests, connections, messages, feedback, reports, and other material submitted through the Service.
You accept these Terms by clicking an acceptance control, creating an account, or using the Service on or after the effective date. If you do not agree, do not create an account or use the Service. Existing Members will be asked to accept these Terms before continuing to use account features.
These Terms incorporate the Privacy Policy, Community Guidelines, Copyright Policy, and Safety and Takedown Policy (together, the "Policies"). The Privacy Policy controls if it conflicts with these Terms about the handling of personal information. The Copyright Policy controls for copyright notices, counter-notices, restoration, and repeat-infringer procedures. The Safety and Takedown Policy controls for its dedicated removal procedures. These Terms otherwise control if another Policy conflicts with them.
The Service is initially offered for use in the United States. We may restrict access from other locations. Global expansion may require regional terms, notices, or features, and we will provide them before offering the Service where they are required.
Eligibility and school access
You must be at least 18 years old and legally able to enter into these Terms. Before completing signup, you must affirm that you are at least 18, and UniSphere may record the affirmation and its timestamp. The Service is not intended for anyone under 18, and a parent or guardian may not consent to an underage account. UniSphere does not independently verify age merely because a person controls a school email address.
You must control an email address issued by a participating school and accepted by the Service. Eligibility is based on the participating school's approved email domains and any additional verification steps we reasonably require. An eligible email address may belong to a student, faculty member, staff member, alumnus, or another school-affiliated person; the email requirement by itself does not promise that every category can use every feature.
We may require you to reverify your school email or eligibility. If you lose access to an eligible address or no longer qualify, we may limit interactive features and, when reasonably practicable, provide a grace period to reverify, use another eligible address, or prepare for account closure. We may shorten or omit a grace period when necessary for safety, security, fraud prevention, legal compliance, or enforcement of these Terms.
School-email verification confirms control of an email address at the time of verification. It does not confirm a person's age, identity, current enrollment, employment, academic standing, background, character, skills, authority, or suitability for a project. You remain responsible for evaluating other Members.
Accounts and identity
You must provide accurate, current information; use your real identity; keep your school email current; maintain only one personal account; and promptly correct information that becomes inaccurate. You may not impersonate another person or organization, misstate school affiliation, or create a misleading profile.
You are responsible for activity through your account and for protecting access codes, authenticated sessions, and devices. Do not sell, license, share, lend, or transfer your account. Notify support@unisphereconnect.com promptly if you suspect unauthorized access. We may require verification before restoring access or acting on an account request.
Demo, test, moderation, and administrative accounts may be subject to separate internal or organizational rules. When their users participate as ordinary Members, these Terms still apply to that participation unless a separate written agreement expressly says otherwise.
What UniSphere provides
UniSphere provides tools for eligible school communities to post and discover projects, request and manage project roles, connect with people, communicate, share project updates, and record project participation. Features and visibility may differ by school, account status, location, or product stage.
UniSphere is not affiliated with, endorsed by, or sponsored by Arizona State University. UniSphere is an independent service and is not affiliated with, endorsed by, sponsored by, or administered by the Arizona Board of Regents or any other participating school unless we expressly announce a separate written relationship. References to a school identify eligibility or context and do not imply endorsement. You may not use a school's name, logo, or marks in a way that suggests authorization you do not have.
We do not conduct background checks, verify project claims, endorse Members or projects, supervise collaboration, guarantee that an opportunity is legitimate, or guarantee that a Member has stated skills, credentials, authority, or resources. Compatibility scores, explanations, badges, labels, and recommendations are informational tools, not professional evaluations or guarantees.
The Service is not an emergency service. If you or someone else faces immediate danger, contact 911 or the appropriate local emergency service. Do not rely on a report, block, moderation queue, email inbox, or message to obtain urgent assistance.
Projects and relationships between Members
UniSphere is not part of your arrangement
Members decide whether to join, leave, complete, fund, compensate, publish, or otherwise participate in a project. UniSphere is not an employer, recruiter, staffing agency, client, contractor, partner, fiduciary, broker, escrow provider, investment adviser, school representative, or party to an agreement between Members. No project, connection, message, badge, or completed-project record creates an employment, agency, partnership, joint venture, or fiduciary relationship with UniSphere.
A project may describe an opportunity that could later involve compensation, employment, fundraising, sales, or another off-platform arrangement, but UniSphere does not process payments, collect fees for Members, hold funds, negotiate terms, verify eligibility to work, perform tax reporting for Members, or execute those arrangements. Members must use appropriate off-platform documents and services and independently comply with applicable law.
Regulated activities
You may not use the Service to offer, arrange, transact, recruit for, or provide an activity that requires a license, registration, institutional approval, or specialized regulatory compliance unless UniSphere has expressly enabled that category in writing. Prohibited uses include financial or investment services, lending, gambling, legal or medical services, controlled substances, weapons transactions, adult services, human-subject research without required institutional approval, and other regulated goods or services. Discussing a general project topic does not authorize using the Service to conduct the regulated activity.
Team agreements and ownership
UniSphere does not decide who owns or may use a project's code, designs, research, inventions, trademarks, data, documents, revenue, expenses, or other work. Collaborators should agree separately, in writing when appropriate, about ownership, confidentiality, attribution, responsibilities, expenses, decision rights, licensing, publication, and what happens when someone leaves. A roster, role title, update, or completed-project listing records activity in the Service but is not a legal determination of authorship, ownership, inventorship, employment, or entitlement to compensation.
Do not disclose trade secrets, confidential school or employer information, protected research, education records, authentication credentials, or another person's sensitive information unless you are authorized and the Service is appropriate for that disclosure. UniSphere does not provide nondisclosure agreements or confidential repositories.
Academic integrity
You must follow the academic-integrity and acceptable-use rules that apply to you. You may not use the Service to arrange cheating, plagiarism, fabrication, unauthorized collaboration, impersonation, exam assistance, the completion of graded work for another person, or the submission of work under false authorship. A study group or academic project must remain within the relevant instructor's and institution's rules.
Your Content
You keep ownership
As between you and UniSphere, you retain the rights you have in your Content. These Terms do not transfer ownership of your Content to UniSphere. You are responsible for deciding what to share and for keeping your own copies of material you need.
License needed to run the Service
When you submit Content, you grant UniSphere a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, format, resize, convert, display, distribute, and otherwise use that Content only as reasonably necessary to provide, secure, moderate, maintain, improve, and support the Service; comply with law; enforce these Terms and the Policies; and exercise the rights you expressly authorize. The license includes the right to use service providers and to sublicense these limited rights to them solely for work they perform for UniSphere.
This license does not allow UniSphere to sell ownership of your Content. Technical changes, such as cropping a profile image, re-encoding an upload, generating a preview, or formatting text for different devices, do not change your ownership.
For private messages and other access-limited Content, the license is limited to delivering the Content to intended participants, operating and protecting the Service, responding to valid reports, and meeting legal obligations. UniSphere does not use private-message content to select ads and does not disclose private-message content to advertisers.
Public project promotion
Demo projects may appear on UniSphere's public marketing site and will be labeled as demos. A real Member project may appear publicly only after the project owner gives a separate affirmative promotional consent. The public marketing view is limited to the project and role information identified at the time of consent and will not include email addresses, private messages, or profile details that were not expressly included.
A project owner may withdraw promotional consent for future use. We will remove the project from UniSphere-controlled public marketing surfaces within a reasonable period, but previously distributed materials, search-engine caches, screenshots, or third-party copies may persist. Withdrawal does not make earlier authorized use unlawful.
Your promises about Content
You represent that you own your Content or have all rights and permissions needed to submit it and grant the license above; your Content and our authorized use of it do not infringe, misappropriate, or violate another person's rights; and your Content complies with law, these Terms, and the Policies. If Content includes another person's name, image, work, personal information, or confidential information, you are responsible for obtaining any required permission.
Feedback and automated processing
If you voluntarily submit ideas, product feedback, or suggestions, you allow UniSphere to use them without restriction, obligation, attribution, or payment. This does not transfer ownership of project work or other Content unrelated to the feedback.
UniSphere may use automated systems for functions such as search, matching, ranking, spam prevention, security, moderation support, and service analytics. UniSphere does not use private messages or Member Content to train general-purpose generative artificial-intelligence models without a separate, express opt-in. The Privacy Policy describes relevant processing in more detail.
Visibility and Member privacy
The Service is designed to limit ordinary profiles, projects, feeds, and people-discovery features to verified Members in the same participating school. Conversations are designed to be available only to their participants and authorized personnel with a legitimate operational, safety, or legal need. Reports may expose the reported material and limited context to authorized reviewers.
Visibility controls reduce access but cannot guarantee confidentiality. Authorized recipients can copy, photograph, screenshot, download, or share what they see. Security incidents and errors are also possible. Do not submit information that would cause serious harm if another authorized Member, a reviewer, or an unintended recipient saw it.
A participating school does not automatically receive administrative access to profiles, projects, or messages and does not control UniSphere's moderation merely because its email domain is eligible. Any future school access or institutional relationship must be supported by a separate agreement and disclosed as required in the Privacy Policy.
Advertising and free access
UniSphere does not charge Members to use the standard Service under these Terms. As of the effective date, UniSphere does not display third-party advertising in the Service. UniSphere may later support the Service through advertising, sponsorships, or paid institutional relationships only after updating its notices, vendor disclosures, and any legally required choices or controls. Ads and sponsored placements will be identified when their commercial nature might not otherwise be clear.
UniSphere does not sell Members' personal information, does not provide private-message content to advertisers, and does not use private-message content for ad selection. Any future ad-selection or measurement practice will be described in the Privacy Policy before launch.
An advertiser or sponsor does not become endorsed by UniSphere, and UniSphere is not responsible for its claims, products, sites, or conduct. Interactions with an advertiser or sponsor are between you and that party. School licensing and other institutional arrangements are governed by separate agreements and do not make the school a party to these Terms.
If UniSphere ever offers an optional paid Member feature, it will present separate payment terms and obtain express consent before charging. Nothing in these Terms authorizes UniSphere to charge a Member without that additional agreement.
Acceptable use
Use the Service for lawful, genuine school-community collaboration. You may not use or attempt to use the Service to do any of the following, whether the harmful conduct occurs inside the Service or is initiated through it.
Harmful or unlawful Content and conduct
- Break a law, court order, school rule that applies to you, or another binding obligation.
- Harass, threaten, stalk, exploit, shame, blackmail, or intimidate another person; promote hatred or violence; or target a person based on a protected characteristic.
- Post or distribute nonconsensual intimate imagery, sexualized digital forgeries, sexual content involving a minor, or content that facilitates sexual exploitation or abuse.
- Impersonate another person or organization, misrepresent authority or affiliation, fabricate credentials, or create deceptive project or identity claims.
- Defame another person; invade privacy; disclose personal, financial, health, location, education, or contact information without authorization; or encourage doxxing.
- Infringe copyright, trademark, patent, publicity, privacy, trade-secret, or other rights.
- Commit fraud, run a scam, solicit money deceptively, send spam, manipulate engagement, or conduct unwanted mass recruiting or marketing.
- Use the Service to conduct a regulated activity prohibited under these Terms or to exchange illegal or dangerous goods or services.
System and data misuse
- Access or attempt to access an account, message, school tenant, database, system, or feature without authorization.
- Probe, scan, test, defeat, bypass, or interfere with security, authentication, access controls, rate limits, school boundaries, or moderation controls, except through a written vulnerability-disclosure authorization from UniSphere.
- Introduce malware or harmful code; overload, disrupt, or degrade the Service; or use the Service to attack another system.
- Scrape, crawl, harvest, index, mirror, copy, or systematically collect profiles, projects, messages, contact details, or other Service data without written permission.
- Use bots or automation to create accounts, send messages, submit requests, manipulate rankings, or take actions a human Member would ordinarily take, unless UniSphere expressly enables that automation.
- Reverse engineer or attempt to derive source code except to the limited extent applicable law does not permit that restriction.
- Use Service data to build surveillance, facial-recognition, advertising, recruiting, credit, insurance, housing, or eligibility profiles about Members without their express authorization and all required legal compliance.
- Help another person violate these Terms or evade a suspension, block, school restriction, or other protective measure.
Safety, reports, and moderation
Members can use available reporting and blocking tools. Submit reports in good faith and include only information relevant to the concern. Do not make knowingly false reports, coordinate abusive reporting, or use reporting tools to retaliate.
UniSphere may investigate reports; review reported Content and limited context; preserve evidence; reduce visibility; remove or restrict Content; limit features; decline or reverse requests; warn Members; suspend or terminate accounts; prevent account recreation; and refer matters to schools, service providers, emergency services, or authorities when reasonably necessary and legally permitted. UniSphere is not required to monitor all Content or to take a particular action in response to every report.
Report evidence may remain in restricted moderation records after the original Content changes or is deleted and after a reporter or reported Member deletes an account. We use retained evidence for safety, appeals, fraud prevention, legal obligations, and enforcement, subject to the Privacy Policy and retention rules.
When practicable, we will provide the affected Member with a general reason for a material account restriction and an opportunity to appeal through support@unisphereconnect.com. We may withhold details or act without advance notice when disclosure could endanger someone, compromise an investigation, reveal another person's private information, enable abuse, create legal risk, or undermine security.
For urgent requests to remove nonconsensual intimate images or sexualized digital forgeries, contact support@unisphereconnect.com and follow the Safety and Takedown Policy. That inbox is not an emergency channel. A valid request may require identification of the material, a statement that the depicted person did not consent, information sufficient to locate the material, and a good-faith certification.
Copyright and intellectual property
The Service, including its software, interface, design, branding, and UniSphere-created materials, is owned by UniSphere or its licensors and is protected by intellectual-property law. Subject to these Terms, UniSphere gives you a personal, limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose. No other rights are granted.
You may not copy, modify, distribute, sell, lease, sublicense, publicly display, create derivative services from, or commercially exploit UniSphere's software or materials except as the Service expressly permits or applicable law requires.
If you believe Content infringes copyright or another intellectual-property right, send a notice to legal@unisphereconnect.com and follow the Copyright Policy. Include your contact information; identification of the protected work; identification and location of the challenged material; an explanation of your claim; a good-faith statement; a statement that the information is accurate and that you are authorized to act; and your physical or electronic signature. We may remove or restrict challenged material and may terminate repeat or serious infringers. Knowingly false notices may cause harm and legal liability.
Privacy and electronic communications
The Privacy Policy explains what personal information UniSphere collects, how it is used and disclosed, how long it is kept, advertising practices, and available choices. By using the Service, you acknowledge the Privacy Policy. These Terms do not reduce any privacy right that cannot lawfully be waived.
Information that you voluntarily add to your profile or projects is not an official school education record merely because it concerns school activity. UniSphere is not a school official or institutional records system solely because it verifies a school email. Do not upload records or information that you or your school are not authorized to disclose.
You agree to receive transactional electronic communications needed to operate your account, including login codes, security alerts, project and connection activity, policy notices, and service messages. Marketing communications will include any opt-out mechanism required by law. You are responsible for keeping your email address able to receive important notices.
Suspension, termination, and account deletion
Ending use
You may stop using the Service at any time. Settings provides a self-service JSON data export and immediate account deletion. Deletion requires the exact account handle and any ownership transfers listed by the Service, has no grace or restoration period, and takes effect when the deletion transaction completes. You may also send privacy-rights questions to legal@unisphereconnect.com. Stopping use by itself does not delete an account.
For every owned project with an eligible active teammate, the deleting owner must select that teammate as the new owner. If a project has other membership history but no eligible active teammate, UniSphere automatically archives unfinished work and retains completed or archived work under a neutral “Deleted account” owner. A project with no other member history is removed from the active project board. These fallback rules prevent a missing transfer target from blocking account deletion.
What deletion means
When account deletion completes, UniSphere immediately ends live Service access, deactivates the Member profile, removes the avatar from ordinary display, and removes Content that can reasonably be removed without harming shared records, subject to the exceptions below. Message bodies from the deleted account are replaced in ordinary Member access with a neutral deletion notice; message rows, timestamps, and delivery order remain to preserve conversation order and read state. Restricted copies may remain where needed for a valid report, legal obligation, security, fraud prevention, or dispute.
Content that forms part of a shared or completed project record may remain so the project and its collaborators retain a coherent history. Transferable projects keep their selected new owner. Automatically archived or retained projects use a neutral “Deleted account” owner and do not remain controlled by the real deleted account. The deleted Member’s ordinary display identity is removed. UniSphere may also retain deidentified or aggregated information that no longer identifies the Member.
Safety reports, immutable report evidence, enforcement records, legal records, and records needed to protect Members or establish compliance may remain in restricted systems after deletion. Active image cleanup may complete through ordinary operational processing, and residual copies may remain in backups and disaster-recovery systems for up to 90 days until overwritten through normal cycles. The Privacy Policy describes retention periods and exceptions in more detail.
Our right to restrict or terminate
We may suspend, restrict, or terminate access if we reasonably believe you violated these Terms or the Policies; no longer meet eligibility requirements; create legal, safety, security, or reputational risk; expose UniSphere or another person to harm; repeatedly infringe rights; evade enforcement; or if we must do so to comply with law or discontinue the Service. We will use proportionate measures when reasonably practicable, but serious conduct may result in immediate permanent termination.
Sections that by their nature should continue after termination survive, including provisions concerning Content licenses for permitted retention, ownership, feedback, account deletion, disclaimers, liability, indemnification, disputes, and general terms.
Third-party services and links
Profiles and projects may link to services such as portfolios, code repositories, professional networks, school sites, advertiser sites, and other third-party resources. UniSphere may also rely on service providers for hosting, authentication, communications, analytics, security, and other functions. Third parties have their own terms and privacy practices.
UniSphere does not control or endorse third-party content, products, security, availability, or conduct and is not responsible for losses arising from your independent use of them. Review third-party terms before providing information or entering an arrangement. You are responsible for your devices, internet access, carrier charges, and compatible software.
Changes to the Service and these Terms
We may add, change, limit, suspend, or discontinue features to develop the Service, respond to risk, comply with law, or manage operations. We do not promise that any feature, project record, integration, or content format will always remain available. We will provide reasonable advance notice before discontinuing the whole Service when practicable.
We may update these Terms. For a change that materially reduces Member rights or increases Member obligations, we will ordinarily provide at least 30 days' notice by email, in-product notice, or another reasonable method. We may make a change effective sooner when reasonably necessary for law, safety, security, abuse prevention, or a new feature that requires immediate terms. The notice will identify the effective date.
When law or the nature of a change requires, we will ask for affirmative acceptance. Otherwise, continued use after the effective date means acceptance of the updated Terms. If you do not agree, you must stop using the Service and may request account deletion.
Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." UNISPHERE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, AND THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
UniSphere does not warrant or guarantee any Member, project, Content, opportunity, compatibility result, school affiliation, message, transaction, collaboration, completed-project claim, or off-platform outcome. You assume the risks of communicating, collaborating, sharing information, meeting in person, and entering arrangements with other Members.
Some jurisdictions do not allow particular warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted, and you retain any rights that cannot be excluded.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNISPHERE AND THE PERSONS WHO OPERATE OR SUPPORT IT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OPPORTUNITY, GOODWILL, OR PROJECT WORK; OR DAMAGES ARISING FROM ANOTHER MEMBER, THIRD PARTY, SECURITY EVENT, SERVICE INTERRUPTION, OR OFF-PLATFORM ARRANGEMENT, EVEN IF ADVISED THAT SUCH DAMAGE WAS POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF UNISPHERE AND THE PERSONS WHO OPERATE OR SUPPORT IT FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID UNISPHERE FOR MEMBER FEATURES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory and reflect the allocation of risk in providing a free, early-stage service. They do not limit liability that applicable law does not permit us to limit, such as liability for intentional misconduct or other non-waivable rights. Your rights may vary by jurisdiction.
Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless UniSphere and the persons who operate or support it from third-party claims, damages, judgments, losses, liabilities, and reasonable legal costs arising from your Content; your material violation of these Terms or the Policies; your infringement or violation of another person's rights; your unlawful or fraudulent conduct; or an off-platform project, transaction, or arrangement for which you are responsible.
UniSphere will provide reasonable notice of a covered claim when practicable and may control its defense. You will reasonably cooperate. You may not settle a claim in a way that admits fault by, imposes obligations on, or requires payment from UniSphere without UniSphere's written consent. This section does not require indemnification for UniSphere's own intentional misconduct or to the extent prohibited by law.
Disputes, governing law, and courts
Informal resolution first
Before filing a lawsuit other than an eligible small-claims matter or a request for urgent injunctive relief, the person raising a dispute must send a written notice to legal@unisphereconnect.com or the mailing address in the contact section. The notice must include the sender's name and account email or handle, a description of the dispute and supporting facts, the requested resolution, and contact information. The parties will try in good faith to resolve the dispute for 30 days after receipt. Applicable limitation periods are paused during that 30-day period to the extent permitted by law.
Arizona law and venue
Arizona law governs these Terms and disputes arising from them or the Service, without regard to conflict-of-law rules, except that federal law governs federal questions. After the informal process, any court proceeding must be brought in the state courts located in Maricopa County, Arizona, or the United States District Court for the District of Arizona in Phoenix, and each party consents to those courts' personal jurisdiction and venue.
Either party may bring an eligible individual claim in small-claims court. Either party may seek temporary or injunctive relief in a court with jurisdiction to prevent actual or threatened harm involving safety, security, confidentiality, or intellectual-property rights. These Terms do not require arbitration and do not contain a class-action or jury-trial waiver.
If you are entitled to non-waivable consumer protections or a different forum under applicable law, those protections and requirements remain in effect to the extent they cannot lawfully be changed by contract.
General terms
Entire agreement. These Terms and the incorporated Policies are the entire agreement between you and UniSphere about the Service and replace earlier terms about the same subject. A separate written agreement controls only to the extent it expressly changes these Terms for the covered subject.
Assignment. You may not assign or transfer these Terms or your account without our written consent. UniSphere may assign these Terms in connection with incorporation, reorganization, financing, merger, acquisition, sale of assets, or transfer of the Service, provided the successor assumes the relevant obligations.
Independent relationship. These Terms do not create an agency, partnership, employment, franchise, fiduciary, or joint-venture relationship between you and UniSphere. You have no authority to bind UniSphere.
Severability. If a provision is found unenforceable, it will be enforced to the maximum lawful extent or modified only as much as necessary, and the remaining provisions will remain effective.
No waiver. A failure or delay in enforcing a provision is not a waiver. A waiver must be written and applies only to the specific instance stated.
Force majeure. UniSphere is not responsible for delay or failure caused by events beyond reasonable control, including natural disasters, utility or internet failures, labor disputes, war, civil unrest, government action, provider outages, cyberattacks, or widespread emergencies.
Electronic notices. You agree that electronic records, notices, and acceptance may satisfy written-notice and signature requirements to the extent permitted by law. Notices to Members may be sent to the account email, displayed in the Service, or posted with reasonable prominence.
No third-party beneficiaries. Except for persons entitled to protection under the disclaimer, liability, or indemnification sections, these Terms do not give rights to anyone other than you and UniSphere.
Interpretation. Headings are for convenience. "Including" means "including without limitation." The singular includes the plural where context requires. An English version controls to the extent permitted by law.
